This User Agreement (the "Agreement") is a legally binding contract between you (the "User") and Paralelli, Unipesoal LDA (the "Platform", “PARALELLI”), a company registered in Marina Club Building, Room 105, 73 Arriaga Avenue, Funchal (Sé), Madeira Island, 9004 - 533, Reg.No 517910390, with respect to your use of the online platform provided by PARALELLI for the purpose of finding and closing contracts with potential partners for your products or services.
By registering and using the Platform, you agree to be bound by the terms and conditions of this Agreement, as well as the terms and conditions of the Platform. If you do not agree with any of the terms and conditions, you must not use the Platform.
The Platform is an online marketplace that connects Consumers and Providers of various products and services. The Platform does not own, create, sell, resell, provide, control, manage, offer, deliver, or supply any Products or Services. The Platform only facilitates the communication and transaction between Consumers and Providers. The Platform is not a party to any Contracts between Consumers and Providers. The Platform is not responsible for the quality, safety, legality, suitability, accuracy, or availability of any Products or Services offered by Providers. The Platform does not endorse, verify, or guarantee any Products or Services offered by Providers. The Platform is not liable for any damages, losses, costs, expenses, or claims arising from or relating to any Contracts between Consumers and Providers.
The Platform may provide Users with access to third-party services, such as payment processing, dispute resolution, or customer support. The Platform does not control, endorse, or assume any responsibility for these third-party services. The Platform is not liable for any damages, losses, costs, expenses, or claims arising from or relating to the use of these third-party services. Users should review the terms and conditions and privacy policies of these third-party services before using them.
In order to use the Platform, Users must register and create an account. Users must provide accurate, complete, and current information for their account. Users are responsible for maintaining the security and confidentiality of their account credentials. Users are also responsible for all activities that occur under their account. Users must notify the Platform immediately of any unauthorized access or use of their account. The Platform is not liable for any damages, losses, costs, expenses, or claims arising from or relating to any unauthorized access or use of a User's account.
The Platform may suspend, terminate, or delete a User's account at any time and for any reason, without prior notice or liability. The Platform may also limit, restrict, or prohibit a User's access to or use of the Platform at any time and for any reason, without prior notice or liability. The Platform may also remove, edit, or modify any Content posted by a User on the Platform at any time and for any reason, without prior notice or liability.
Users may cancel or delete their account at any time by following the instructions on the Platform. By canceling or deleting their account, Users will lose access to their account and any Content associated with their account. The Platform may retain some of the User's information and Content for legal, regulatory, operational, or technical purposes. The Platform is not obligated to return or provide copies of any Content to Users after they cancel or delete their account.
Users are solely responsible for their conduct and Content on the Platform. Users must comply with all applicable laws, regulations, rules, and policies when using the Platform. Users must also respect the rights and interests of other Users and third parties. Users must not:
The Platform does not monitor, review, or moderate the Content posted by Users on the Platform. However, the Platform reserves the right to remove, edit, or modify any Content that violates this Agreement or any other agreement with the Platform, or that the Platform deems inappropriate, offensive, harmful, or illegal, at its sole discretion and without prior notice or liability. The Platform also reserves the right to report any Content or User that violates any law, regulation, rule, or policy to the appropriate authorities, at its sole discretion and without prior notice or liability.
Users retain the ownership and intellectual property rights of their Content. By posting, sharing, or transmitting any Content on the Platform, Users grant the Platform a non-exclusive, worldwide, royalty-free, irrevocable, perpetual, sublicensable, and transferable license to use, reproduce, distribute, display, perform, modify, create derivative works from, and otherwise exploit their Content for the purpose of providing, improving, and promoting the Platform and its services.
Users must respect the ownership and intellectual property rights of other Users and third parties. Users must not use, reproduce, distribute, display, perform, modify, create derivative works from, or otherwise exploit any Content posted by other Users or third parties without their prior consent or authorization. Users must also acknowledge and give credit to the original sources of any Content that they use, reproduce, distribute, display, perform, modify, create derivative works from, or otherwise exploit.
Users must comply with the terms and conditions of any Contracts that they enter into with other Users through the Platform. Users must fulfill their obligations and responsibilities under any Contracts that they enter into with other Users through the Platform. Users must not breach or violate any Contracts that they enter into with other Users through the Platform. Users are solely responsible for resolving any disputes or issues that may arise from or relate to any Contracts that they enter into with other Users through the Platform. The Platform is not a party to any Contracts between Users and does not mediate or arbitrate any disputes or issues between Users.
The Platform may charge Fees to Users for using the Platform and its services. The user's commission will range from 800-1200 euros per year. The matching fee, which depends on the structure and size of the deal, will approximately be 1.5-2.2% of the deal amount on the platform. The Platform will notify Users of any applicable Fees before they use the Platform or its services, or before they enter into any Contracts with other Users. The Platform may change or modify the Fees at any time and for any reason, at its sole discretion and without prior notice or liability. Users must pay the Fees to the Platform in accordance with the payment methods, terms, and conditions specified by the Platform. Users are also responsible for paying any taxes, fees, or charges that may apply to their use of the Platform or its services, or to any Contracts or Payments between Users.
The Platform may use third-party services to facilitate or process Payments between Users. The Platform does not control, endorse, or assume any responsibility for these third-party services. Users should review the terms and conditions and privacy policies of these third-party services before using them. Users are also responsible for complying with the payment methods, terms, and conditions specified by these third-party services. The Platform is not liable for any damages, losses, costs, expenses, or claims arising from or relating to the use of these third-party services.
The Platform and its services are provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy. The Platform does not warrant that the Platform or its services will be uninterrupted, error-free, secure, or free of viruses or other harmful components. The Platform does not warrant that the Platform or its services will meet the expectations, requirements, or needs of Users. The Platform does not warrant that the Platform or its services will result in any outcomes, benefits, or profits for Users. The Platform does not warrant that the Content, Products, or Services posted by Users or third parties on the Platform are accurate, complete, reliable, legal, safe, or suitable. The Platform does not warrant that the Contracts or Payments between Users or third parties are valid, enforceable, or compliant with any laws, regulations, rules, or policies. The Platform does not warrant that the Users or third parties who use the Platform are trustworthy, honest, competent, or qualified. Users use the Platform and its services at their own risk and discretion.
The Platform is not liable for any damages, losses, costs, expenses, or claims arising from or relating to the use of the Platform or its services, or the inability to use the Platform or its services, by Users or third parties. The Platform is not liable for any damages, losses, costs, expenses, or claims arising from or relating to the Content, Products, or Services posted by Users or third parties on the Platform, or the reliance on or use of such Content, Products, or Services by Users or third parties. The Platform is not liable for any damages, losses, costs, expenses, or claims arising from or relating to the Contracts or Payments between Users or third parties, or the performance, breach, or violation of such Contracts or Payments by Users or third parties. The Platform is not liable for any damages, losses, costs, expenses, or claims arising from or relating to the conduct, actions, or omissions of Users or third parties on the Platform, or the interaction, communication, or transaction between Users or third parties on the Platform. The Platform is not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, losses, costs, expenses, or claims, including but not limited to loss of revenue, profit, data, goodwill, or reputation, whether based on contract, tort, negligence, strict liability, or otherwise, even if the Platform has been advised of the possibility of such damages, losses, costs, expenses, or claims. In no event shall the Platform's total liability to Users or third parties exceed the amount of Fees paid by Users or third parties to the Platform in the twelve (12) months preceding the event giving rise to the liability.
PARALELLI shall provide you with “Know Your Customer” (“KYC”) and “Anti-Money Laundering” (“AML”) services for the User Accounts created on our Platform (“KYC Platform”). These services aim to assist you in meeting your regulatory and compliance obligations, as required by EU standards.
If PARALELLI provides you with the KYC Platform, and subject to your obligations under section “User Conduct and Content”, you may use the KYC Platform in the normal course of your offering to:

Users agree to indemnify, defend, and hold harmless the Platform and its affiliates, directors, officers, employees, agents, and partners from and against any and all damages, losses, costs, expenses, or claims, including but not limited to reasonable attorneys' fees, arising from or relating to the use of the Platform or its services by Users or third parties, the Content, Products, or Services posted by Users or third parties on the Platform, the Contracts or Payments between Users or third parties, the conduct, actions, or omissions of Users or third parties on the Platform, or the breach or violation of this Agreement or any other agreement with the Platform by Users or third parties.
The Platform may modify, update, suspend, or terminate the Platform or any of its services at any time and for any reason, at its sole discretion and without prior notice or liability. The Platform may also modify, update, or amend this Agreement at any time and for any reason, at its sole discretion and without prior notice or liability. Users should review this Agreement periodically to ensure that they are aware of any changes or amendments. Users' continued use of the Platform or its services after any modifications or amendments to this Agreement constitutes their acceptance of and agreement to such modifications or amendments.
This Agreement shall be governed by and construed in accordance with English law, without regard to its conflict of laws principles. Any disputes, controversies, or claims arising from or relating to this Agreement or the Platform or its services shall be submitted to and resolved by arbitration under the rules of the [ARBITRATION INSTITUTION] in [CITY], [COUNTRY]. The arbitration shall be conducted by one (1) arbitrator appointed in accordance with the said rules. The language of the arbitration shall be English. The decision of the arbitrator shall be final and binding on the parties. The parties agree to waive any rights to appeal or to seek any court intervention in the arbitration process. The parties agree to keep the arbitration proceedings and the arbitration award confidential.
This Agreement constitutes the entire agreement between the User and the Platform regarding the use of the Platform and its services, and supersedes any prior or contemporaneous agreements, communications, or understandings, whether oral or written, between the User and the Platform.
The User acknowledges and agrees that by clicking on the "Log In" button or by using the Platform or its services, the User is entering into a legally binding contract with the Platform. The User represents and warrants that the User has the legal authority and capacity to enter into this Agreement and to perform the obligations under this Agreement. The User agrees that the electronic signature of the User on this Agreement is equivalent to the handwritten signature of the User for all purposes and that the User will not dispute the validity or enforceability of this Agreement or any related documents because they are in electronic form. The User consents to the use of electronic communications and records by the Platform in connection with this Agreement and the Platform or its services. The User agrees to receive electronic notices, disclosures, and other communications from the Platform at the email address provided by the User or through the Platform's website or mobile application. The User may withdraw this consent at any time by contacting the Platform in writing, but this may affect the User's ability to access or use the Platform or its services. The User is responsible for keeping the User's contact information up to date with the Platform. The Platform reserves the right to provide any notices or communications to the User in paper form, if required by law or otherwise deemed necessary by the Platform.
This Agreement does not create any partnership, joint venture, employment, or agency relationship between the User and the Platform. The User may not assign or transfer this Agreement or any of its rights or obligations under this Agreement without the prior written consent of the Platform. The Platform may assign or transfer this Agreement or any of its rights or obligations under this Agreement without the prior written consent of the User. The failure or delay of the Platform to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision. If any part of this Agreement is found to be invalid, illegal, or unenforceable by any court of competent jurisdiction, the rest of this Agreement shall remain in full force and effect. The headings and titles of this Agreement are for convenience only and have no legal or contractual effect.
